Abstract

El objetivo de este artículo es analizar la naturaleza jurídica del concepto de diligencia debida y la forma en que dicho concepto ha sido definido y aplicado por los tribunales arbitrales de inversión, para evaluar la conducta del inversor en el territorio del Estado receptor de la inversión, particularmente, en lo que se refiere al cumplimiento de las obligaciones en materia de Derechos Humanos y medioambiente, tanto nacionales como internacionales. A estos efectos, el análisis se dividirá en cinco apartados: (I) introducción; (II) el concepto de debida diligencia;

Abstract: The objective of this article is to analyze the legal nature of the concept of due diligence and the way in which the concept has been defined and applied by investment arbitration tribunals to evaluate the conduct of the investor in the territory of the host State of the investment, particularly regarding compliance with human rights and environmental obligations, both domestic and international. For these purposes, the analysis will be divided into five sections: (I) introduction; (II) the concept of due diligence; (III) the evolution in the regulation of due diligence in matters of business and human rights; (IV) due diligence in investment arbitration tribunals; and (IV) the challenges of investment arbitration tribunals.

In the first section, a brief introduction to the concept of “due diligence” will be presented. In the second section, an analysis of different approaches to the concept of “due diligence”, as applied and interpreted in different legal systems and industries. In the third section, the main objective is to analyze the origins and evolution of the concept of “due diligence”. In the fourth section, analyze multiple awards issued

by international arbitration tribunals and the different positions that they have adopted when analyzing the investor’s behavior through the “due diligence” lenses. Finally, some challenges for investment tribunals will be presented, including the problem of applicable law when human rights come into play as matter of a dispute based on treaty-based investment obligations, and the fact that investment law fails to provide investment-affected individuals and communities with a meaningful mechanism for remedying investment-related human rights abuses or violations.
